THIS RECEIVABLES SALE AND SERVICING AGREEMENT (this “Agreement”) is entered into as of December 6, 2013, by and among each of the persons signatory hereto from time to time as Originators, each an “Originator” and, collectively, the “Originators”), CUMULUS MEDIA HOLDINGS INC. THIS RECEIVABLES FUNDING AND ADMINISTRATION AGREEMENT (this “Agreement”) is entered into as of December 6, 2013 by and among CMI RECEIVABLES FUNDING LLC, a Delaware limited liability company (the “Borrower”), the financial institutions signatory hereto from time to time as lenders (the “Lenders”), and GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation, as a Lender, as swing line lender (in such capacity, the “Swing Line Lender”) and as administrative agent for the Lenders hereunder (in such capacity, the “Administrative Agent”).
