This AGREEMENT is made as of November 19, 2013, by and between Capitol Series Trust (the “Trust”), an Ohio business trust, with its principal office and place of business at 2960 North Meridian Street, Suite 300, Indianapolis, Indiana, 46208, and Meritage Portfolio Management, Inc., a Kansas corporation, with its principal office and place of business at 7500 College Boulevard, Suite 1212, Overland Park, Kansas 66210 (the “Adviser”).
