THIS SEPARATION AND DISTRIBUTION AGREEMENT (this “Agreement”), is entered into as of [ ], [ ], by and between Dover Corporation, a Delaware corporation (“Dover”), and Knowles Corporation, a Delaware corporation (“Knowles”) (each a “Party” and together, the “Parties”).
