Texas Capital Bancshares, Inc. (“TCBI”) and George F. Jones, Jr. (“Executive”) are parties to a Retirement Transition Agreement and Release (the “Agreement”) dated as of June 11, 2013 (the “Agreement”) providing, among other things, for Executive to transition his position as President and Chief Executive Officer of TCBI effective as of December 31, 2013 to his successor (the “Separation Date”).
