This Stock Purchase Agreement (this “Agreement”) is made and entered into this 25th day of October, 2013, by and between Covidien Group S.a.r.l., a Luxembourg company (“Seller”) and Integra LifeSciences Corporation, a Delaware corporation (“Purchaser”).
