By this letter dated May 7, 2013, we have agreed to waive a portion of the investment management fee payable to us under the Investment Management Agreement dated May 7, 2013 between ING Investments, LLC and ING Variable Portfolios, Inc., as amended (the “Agreement”), with respect to ING Australia Index Portfolio (the “Portfolio”), a series of ING Variable Portfolios, Inc., in the amount of 0.25% per annum as if the investment management fee specified in the Agreement were 0.35%. By this letter, we agree to waive that fee for the period from May 7, 2013 through and including May 1, 2014.

This EXPENSE LIMITATION AGREEMENT (this “Agreement”), is effective May 7, 2013, by and between ING Investments, LLC (the “Investment Manager”) and ING Variable Portfolios, Inc. (the “Registrant”). The Registrant is a series fund investment company, and is entering into this Agreement on behalf of, and this Agreement shall apply to, each series of the Registrant set forth on Schedule A hereto (each a “Fund,” collectively the “Funds”), as such schedule may be amended from time to time to add or delete series.

By this letter, we agree to waive that fee for the period from August 5, 2013 through May 1, 2014.

By this letter dated March 14, 2013, we have agreed to waive the administrative services fee payable to us under the Administration Agreement dated April 1, 2002, as amended and restated on December 31, 2008, and as further amended and restated on March 14, 2013, between ING Variable Portfolios, Inc. and ING Funds Services, LLC (the “Agreement”) with respect to ING Emerging Markets Index Portfolio (the “Portfolio”), a series of ING Variable Portfolios, Inc., in the amount of 0.10% per annum. By this letter, we agree to waive that fee for the period from March 14, 2013 through and including May 1, 2014. This letter replaces the previous letter for the Portfolio, dated November 30, 2011.
