THIS EMPLOYMENT AGREEMENT (“Agreement”) is entered by and between William Porter (“Executive”) and TriNet Group, Inc., a Delaware corporation (the “Company”), effective August 23, 2010 (the “Effective Date”). This Agreement amends, supersedes and terminates any and all prior agreements with respect to Executive’s employment terms and severance benefits, without limitation, and no benefits of any sort shall be paid under said previous agreements.
