This REGISTRATION RIGHTS AGREEMENT dated February 26, 2014 (the “Agreement”) is entered into by and among Advanced Micro Devices, Inc., a Delaware corporation (the “Company”) and Merrill Lynch, Pierce, Fenner & Smith Incorporated (“Merrill”), for itself and the other the several Initial Purchasers listed on Schedule 1 hereto (the “Initial Purchasers”).
