THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) by and between LHC Group, Inc., a Delaware corporation (the “Company”), and Joshua L. Proffitt (“Executive”), amends and restates that certain Employment Agreement originally dated as of March 30, 2011 (the “Effective Date”), between the Company and Executive. This Agreement was amended and restated as of August 1, 2012 (the “First Amended Date”), and was further amended and restated as of November 25, 2013 (the “Second Amended Date”).
