This Employment Agreement (the “Agreement”) is made and entered into by and between Mary Corbett (“Executive”) and Relypsa, Inc. (the “Company”) (together referred to herein as the “Parties”) as of the date of the last signature hereto. This Agreement supersedes in its entirety any agreement to which the Company is a party with respect to Executive’s employment with the Company, except for the Proprietary Information and Inventions Agreement executed by Executive (the “Confidential Information Agreement”).

THIS AGREEMENT is made effective as of November 27, 2012 (the “Effective Date”) by and between RELYPSA, INC. (“RELYPSA”) and LANXESS CORPORATION (“LANXESS”). Each party is sometimes referred to herein as a “Party” and the parties together as the “Parties.”
