THIS AGREEMENT (the “Agreement”) is made and entered into as of the 24th day of March, 2014 and effective as of the date of Executive’s appointment as Interim Chief Financial Officer by the Company’s Board of Directors (the “Effective Date”), by and among Amedisys, Inc., a Delaware corporation having its headquarters at 5959 South Sherwood Forest Boulevard, Baton Rouge, Louisiana, 70816 (“Amedisys” or the “Company”), Amedisys Holding, L.L.C., a Louisiana limited liability company having its headquarters at 5959 South Sherwood Forest Boulevard, Baton Rouge, Louisiana 70816 (“Holding”), and Dale E.
