THIS AMENDED AND RESTATED MANAGEMENT AND ADVISORY AGREEMENT, is made as of February 14, 2014 (the “Agreement”) by and among NEW MEDIA INVESTMENT GROUP INC., a Delaware corporation (the “Company”), and FIG LLC, a Delaware limited liability company (together with its permitted assignees, the “Manager”). This Agreement amends and restates, in its entirety, the management and advisory agreement dated as of November 26, 2013 by and among the Company and the Manager.
