THIS STOCK PURCHASE AGREEMENT is made and entered into as of this 1st day of April, 2014, by and among (i) POWER SOLUTIONS INTERNATIONAL, INC., a Delaware corporation (“PSI”), (ii) CARL L. TRENT and KENNETH C. TRENT, in their individual capacities (each, a “Shareholder” and collectively, the “Shareholders”), (iii) CARL L. TRENT, in his capacity as the Seller Representative, and (iv) CKT HOLDINGS, INC., a Wisconsin corporation (the “Seller”).
