This First Amendment to Credit Agreement (the “First Amendment” or “this Amendment”) is made and entered into effective as of the 23rd day of December, 2013 (the “First Amendment Effective Date”), by and among MITCHAM INDUSTRIES, INC., a Texas corporation (“Borrower”), HSBC BANK USA, N.A., as administrative agent (the “Administrative Agent”) for the lenders party to the Credit Agreement referred to below (the “Lenders”), and the Lenders party hereto.
