This EMPLOYEE MATTERS AGREEMENT (this “Agreement”) is made as of [ ], 2014, by and between Tribune Company, a Delaware Corporation (“Tribune”), and Tribune Publishing Company, a Delaware corporation (“Publishing”) (each a “Party” and together, the “Parties”).

This Employment Agreement (this “Agreement”) is entered into by and between Tribune Publishing Company, LLC (the “Company”), a limited liability company, and John Bode (“Bode”), an individual. In consideration of the mutual promises and covenants contained herein, and for good and valuable consideration, the receipt and sufficiency of which are acknowledged by both parties, the Company agrees to employ Bode and Bode agrees to accept employment with the Company upon the terms and conditions set forth herein.

This letter agreement (this “Agreement”) will set forth the terms and conditions of your employment with Tribune Publishing Company, LLC (together with its subsidiaries and successors interest, the “Company”). Upon your acceptance by signing where indicated below and returning to Melanie Hughes, the terms of this Agreement shall supersede any and all prior understandings, term sheets, or agreements, whether written or oral, concerning your employment with the Company.
