THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of April 24, 2014 (the “Effective Date”) by and between PRGX Global, Inc., a Georgia corporation (the “Company”), and Michael Cochrane (the “Executive”). This Agreement supersedes, replaces and terminates any employment agreement or compensation arrangement previously entered into or agreed to by and among the Company and/or any of its subsidiaries and the Executive.
