This Registration Rights Agreement (this “Agreement”) is made and entered into as of May 5, 2014, by and among Sabine Investor Holdings LLC, a Delaware limited liability company (“New Sabine Holdings”), Forest Oil Corporation, a New York corporation (“Forest”), and New Forest Oil Inc., a Delaware corporation (which will be renamed “Sabine Oil & Gas Corporation” at the Effective Time, including any of its successors by merger, acquisition, reorganization, conversion or otherwise, the “Company”).

This AGREEMENT AND PLAN OF MERGER is made as of May 5, 2014 (the “Execution Date”), by and among Sabine Investor Holdings LLC, a Delaware limited liability company (“New Sabine Holdings”), Sabine Oil & Gas Holdings LLC, a Delaware limited liability company (“Sabine Holdings”), Sabine Oil & Gas Holdings II LLC, a Delaware limited liability company (“SOGH II”), Sabine Oil & Gas LLC, a Delaware limited liability company (“Sabine O&G” and, together with New Sabine Holdings, Sabine Holdings and SOGH II, the “Sabine Parties”), Forest Oil Corporation, a New York corporation (“Forest”), New Forest Oil Inc., a Delaware corporation and a wholly owned subsidiary of Forest (“New Forest”), and Forest Oil Merger Sub Inc., a New York corporation and a wholly owned subsidiary of New Forest (“Merger Sub” and, together with Forest and New Forest, the “Forest Parties”). Capitalized terms used and not otherwise defined in this Agreement have the meanings set forth in Article IX.
