This EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into effective as of February 4, 2014 (the “Effective Date”), by and between REGULUS THERAPEUTICS INC., a Delaware corporation (the “Company”), and DAVID SZEKERES (the “Executive”). The Company and the Executive are hereinafter collectively referred to as the “Parties”, and individually referred to as a “Party”. From and following the Effective Date, this Agreement shall replace and supersede that certain Offer Letter Agreement between Executive and Regulus Therapeutics Inc. dated December 18, 2013 (the “Prior Agreement”).
