This VOTING AGREEMENT AND IRREVOCABLE PROXY (this “Agreement”) is entered into as of , 2014, by and between Sphere 3D Corporation, an Ontario corporation (“Parent”), and the undersigned stockholder (“Stockholder”) of Overland Storage, Inc., a California corporation (the “Company”).
