THIS PURCHASE AND SALE AGREEMENT, dated as of February 19, 2014 (“Agreement”), is by and between PMF Fund L.P. (“Domestic Fund”), PMF TEI Fund, L.P. (“TEI Fund”) and its wholly owned subsidiary, PMF TEI (Offshore) Fund, Ltd. (“TEI Blocker”), and PMF International Fund, Ltd. In consideration of loans, advances and all other credit transactions and financial accommodations given or to be given or to be continued from time to time to HV HORNETS PE L.P., a Delaware limited partnership (the “Borrower”) by DEUTSCHE BANK TRUST COMPANY AMERICAS (“Lender”) pursuant to that certain Term Loan and Revolving Line of Credit Agreement, dated as of the date hereof, between Borrower and Lender, with respect to a term loan in the maximum principal amount of $72,648,304 and a revolving line of credit in the maximum principal amount of $15,000,000 (as amended, restated or otherwise modified from time to time, the “Credit Agreement”; terms used and not otherwise defined herein having the respective meanings set forth in the Credit Agreement), Borrower hereby agrees with Lender as follows:
