Nordic American Offshore Ltd., a corporation organized and existing under the laws of the Republic of the Marshall Islands (the “Company”), proposes to issue and sell to the several Underwriters named in Schedule I hereto (the “Underwriters”) [ ] common shares, par value $0.01 per share (the “Firm Shares”).
