THIS SIXTH AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF ENBRIDGE ENERGY PARTNERS, L.P., dated as of June 18, 2014 but effective for all purposes as of the Class D Issuance Date (as defined below), is entered into by and among Enbridge Energy Company, Inc., a Delaware corporation, as the General Partner, and the Limited Partners, together with any other Persons who become Partners in the Partnership as provided herein.

This Purchase and Sale Agreement (this “Agreement”), dated as of June 18, 2014 (the “Execution Date”), is by and between Enbridge Energy Partners, L.P., a Delaware limited partnership (“EEP”), and Midcoast Energy Partners, L.P., a Delaware limited partnership (“MEP”). Each of EEP and MEP is a “Party” and, collectively, are the “Parties”.

This IRREVOCABLE WAIVER (this “Waiver”), dated as of June 18, 2014 but effective for all purposes as of July 1, 2014 (the “Class D Unit Issuance Date”), is made by Enbridge Energy Company, Inc., a Delaware corporation (the “General Partner”), as general partner of Enbridge Energy Partners, L.P., a Delaware limited partnership (the “Partnership”). All initially-capitalized terms used but not otherwise defined in this Agreement shall have the meanings set forth in the Fifth Amended and Restated Agreement of Limited Partnership of the Partnership (the “Partnership Agreement”) unless the context clearly indicates otherwise.
