THIS FIRST AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF FORESIGHT ENERGY LP dated as of June 23, 2014, is entered into by and between Foresight Energy GP LLC, a Delaware limited liability company, as the General Partner, and Foresight Reserves LP, a Delaware limited partnership, as the Organizational Limited Partner, together with any other Persons who become Partners in the Partnership or parties hereto as provided herein. In consideration of the covenants, conditions and agreements contained herein, the parties hereto hereby agree as follows:

THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of June 23, 2014, by and between Foresight Energy LP, a Delaware limited partnership (the “Partnership”), Foresight Reserves, L.P., a Nevada limited partnership (“Sponsor”), and Michael J. Beyer (“Beyer”).

This Contribution, Conveyance and Assumption Agreement, dated as of June 10, 2014 (this “Agreement”), is entered into by and among Foresight Energy LP, a Delaware limited partnership (the “Partnership”); Foresight Energy GP LLC, a Delaware limited liability company (“GP”); Foresight Energy LLC, a Delaware limited liability company (“Operating Company”); Foresight Reserves, LP, a Nevada limited partnership (“Reserves”); and Michael J. Beyer (“Beyer”). The above-named entities and individuals are sometimes referred to individually as a “Party” and collectively as the “Parties.” Capitalized terms used herein without definition shall have the meanings assigned to such terms in Article I hereof.
