Seadrill Partners LLC, a limited liability company organized under the laws of the Republic of The Marshall Islands (the “Company”), proposes to issue and sell to the underwriters named on Schedule I hereto (the “Underwriters”), 6,100,000 common units (the “Units”), each representing a limited liability company interest in the Company.
