This letter agreement (the “Agreement”) formalizes the arrangement between you and ADS Waste Holdings, Inc. (the “Company”) in relation to certain advisory services you will render to the Company following your retirement from active employment with the Company as its Chairman and Chief Executive Officer on June 30, 2014 (the “Retirement Date”).
