Kansas Gas and Electric Company, a corporation organized under the laws of Kansas (the “Company”), proposes to issue and sell to the several parties named in Schedule I hereto (the “Initial Purchasers”), for whom you (the “Representatives”) are acting as representatives, $250,000,000 principal amount of its First Mortgage Bonds, 4.30% Series due 2044 (the “Securities”). The Securities are to be issued under a Mortgage and Deed of Trust, dated as of April 1, 1940 (as heretofore amended and supplemented, the “Original Mortgage”), between the Company and The Bank of New York Mellon Trust Company, N.A. (as successor-in-interest to Guaranty Trust Company of New York), as Corporate Trustee, (the “Corporate Trustee”) and Richard Tarnas (successor to Judith L. Bartolini, W. A. Spooner, Henry A.
