AmTrust Financial Services, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule II hereto (the “Underwriters”), for whom you are acting as managers (the “Managers”), 4,000,000 of its Depositary Shares (the “Firm Shares”), each representing 1/40th of a share of the Company’s 7.25% Non-Cumulative Preferred Stock, Series B, par value $0.01 per share, liquidation preference of $1,000 per share (equivalent to $25 per depositary share) (the “Underlying Preferred Shares”).
