THIS ASSET PURCHASE AGREEMENT is made and entered into as of July 15, 2014 by and between ICAD, INC., a Delaware corporation (“Buyer”), DermEbx, a Series of Radion Capital Partners, LLC, a Delaware limited liability company (the “Seller”) and, solely with respect to Section 5.15 hereof, Radion Capital Partners, LLC, a California limited liability company (“RCP”).
