This JOINDER AGREEMENT AND FIRST AMENDMENT TO LOAN AND SECURITY AGREEMENT (this “Amendment”), is dated as of April 1, 2014, by and among, on the one hand, WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association (“Wells Fargo”), RBS CITIZENS BUSINESS CAPITAL, a division of RBS Asset Finance, Inc.
