This Third Amended and Restated Limited Liability Company Agreement (as amended, restated, supplemented and otherwise modified from time to time, this “Agreement”) of Memorial Production Partners GP LLC, a Delaware limited liability company (the “Company”), is made and entered into as of June 18, 2014, by Memorial Resource Development Corp., a Delaware corporation (“Memorial Resource”), to be effective upon the date of execution (the “Effective Time”) of the Contribution Agreement (defined below). The parties hereto may be referenced individually as a “Party” and collectively as “Parties.”
