This AGREEMENT (“Agreement”) originally entered into as of December 31, 2012 and amended and restated in its entirety effective June 25, 2014, by and between CLIFTON SAVINGS BANK (the “Bank”), a federally-chartered financial institution, with its principal offices at 1433 Van Houten Avenue, Clifton, New Jersey, 07015, CHRISTINE R. PIANO (“Executive”) and CLIFTON BANCORP INC., a Maryland corporation (the “Company”) solely as the guarantor of the Bank’s obligations hereunder, and

This AGREEMENT (“Agreement”) is hereby entered into effective June 25, 2014, by and between CLIFTON BANCORP INC., a Maryland corporation (the “Company”) and the holding company for CLIFTON SAVINGS BANK, with its principal offices at 1433 Van Houten Avenue, Clifton, New Jersey 07015, and BART D’AMBRA (“Executive”). Any reference to the “Bank” in this Agreement shall mean Clifton Savings Bank or any successor to Clifton Savings Bank.
