Paragon Shipping Inc., a corporation incorporated under the laws of The Republic of the Marshall Islands (the “Company”), proposes to issue and sell to the several underwriters (the “Underwriters”) named in Schedule I hereto for whom you are acting as representatives (the “Representatives”) $25,000,000 aggregate principal amount of its senior notes due 2021 (the “Initial Notes”).
