by such Rule a final term sheet (the “Final Term Sheet”) in the form of Schedule IV hereto, containing solely a description of the Securities and the offering thereof, and will file promptly all other material required to be filed by FMS-WM with the Commission pursuant to Rule 433(d) under the Act. FMS-WM will not file any amendment to such registration statement or any such prospectus or any supplement to any such prospectus (including the Prospectus Supplement) on or after the date of this Agreement and prior to the termination of the Offering, except with the approval of the Representative.
