LENDER ADDITION AND ACKNOWLEDGEMENT AGREEMENT, dated as of August 12, 2014 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, this “Agreement”), is entered into by and among the Incremental Term Lender party hereto (the “Incremental Term 1 Lender”), ACI WORLDWIDE, INC. (the “Borrower”), the other Credit Parties party hereto, WELLS FARGO BANK, NATIONAL ASSOCIATION (“Wells Fargo”), as Administrative Agent (in such capacity, the “Administrative Agent”) with BANK OF AMERICA, N.A. as Lead Arranger (in such capacity, the “Incremental Term 1 Lead Arranger”).

THIS FIFTH AMENDMENT TO CREDIT AGREEMENT AND SECOND AMENDMENT TO COLLATERAL AGREEMENT (this “Amendment”) is dated as of August 12, 2014 and is entered into by and among ACI WORLDWIDE, INC., a Delaware corporation (the “Borrower”), WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent (the “Administrative Agent”), the Consenting Lenders (as defined below) and the SUBSIDIARY GUARANTORS listed on the signature pages hereto, and is made with reference to (i) that certain CREDIT AGREEMENT dated as of November 10, 2011, by and among the Borrower, the lenders from time to time party thereto (the “Lenders”), the Administrative Agent and the other agents party thereto, as supplemented by that certain Consent and Waiver No. 1 to the Credit Agreement, dated as of May 9, 2012 (as amended by that certain First Amendment to Consent and Waiver No. 1 to the Credit Agreement, dated as of August 9, 2012) and by that certain Consent and Waiver No. 2 to Credit Agreement, dated as of August 29, 2
