This First Amended and Restated Limited Liability Company Agreement (as amended, restated, supplemented and otherwise modified from time to time, this “Agreement”) of Sanchez Production Partners GP LLC, a Delaware limited liability company (the “Company”), is made and entered into as of [•], 2014, by SP Holdings, LLC, a Delaware limited liability company (“Holdings”), as the sole Member (defined below) of the Company, to be effective (the “Effective Time”) at the effective time of the Conversion (defined below).
