THIS LIMITED LIABILITY COMPANY AGREEMENT (the “Agreement”), effective as of July 9, 2014, is made and entered into pursuant to the provisions of the Delaware Limited Liability Company Act, 6 Del. C. §18-201 et seq. (the “LLC Act’), by T-Mobile USA, Inc. as the sole member (the “Member”) of T-Mobile Financial LLC, a Delaware limited liability company (the “Company”).
