This INVESTMENT AGREEMENT (this “Agreement”), dated as of September 11, 2014, is by and among XPO Logistics, Inc., a Delaware corporation (the “Company”), and the Purchasers set forth on Schedule I hereto (each a “Purchaser” and collectively, “Purchasers”).
