Armada Hoffler Properties, Inc., a Maryland corporation (the “Company”), and Armada Hoffler, L.P., a Virginia limited partnership (the “Operating Partnership” and, together with the Company, the “Transaction Entities”), propose that the Company will issue and sell to Robert W. Baird & Co. Incorporated (“Baird”), Raymond James & Associates, Inc. (“Raymond James”), Stifel, Nicolaus & Company, Incorporated (“Stifel Nicolaus” and, together with Baird and Raymond James, the “Representatives”) and the several Underwriters named in Schedule I hereto (the “Underwriters”) 5,000,000 shares of the common stock, $0.01 par value per share, of the Company (the “Firm Shares”) pursuant to this Underwriting Agreement (this “Agreement”).
