THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made this 31st day of July, 2014, by and between MFS Variable Insurance Trust II, a Massachusetts business trust (“Trust II”), on behalf of MFS New Discovery Portfolio, a segregated portfolio of assets (“series”) thereof (the “Acquired Fund”), and MFS Variable Insurance Trust, a Massachusetts business trust (“Trust I”), on behalf of MFS New Discovery Series, a segregated portfolio of assets (“series”) thereof (the “Surviving Fund”), each with its principal place of business at 111 Huntington Avenue, Boston, Massachusetts 02199-7618. Each of the Acquired Fund and the Surviving Fund are also referred to herein as a “Fund” and, together, as the “Funds.”
