THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of the 18th day of September, 2014 (the “Effective Date”), by and between MEDWEST OUTPATIENT CENTER, L.P. (“Seller”), a North Carolina limited partnership, CHP PARTNERS, LP, (“Purchaser”), a Delaware limited partnership, and FIRST AMERICAN TITLE INSURANCE COMPANY (“Escrow Agent”).
