CREDIT AGREEMENT, dated as of September 30, 2014, by and among SYNAPTICS INCORPORATED, a Delaware corporation, as Borrower, the lenders who are party to this Agreement and the lenders who may become a party to this Agreement pursuant to the terms hereof, as Lenders, and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, as Administrative Agent for the Lenders. WELLS FARGO SECURITIES, LLC has been given the title of sole lead arranger and sole bookrunner in connection with this Agreement; MUFG UNION BANK, N.A. and HSBC BANK USA, NATIONAL ASSOCIATION have each been given the title of co-syndication agent in connection with this Agreement; and BMO HARRIS BANK, N.A. has been given the title of managing agent in connection with this Agreement.
