THIS SECOND AMENDED AND RESTATED INTELLECTUAL PROPERTY SECURITY AGREEMENT (this “Agreement”), dated as of October 6, 2014, is entered into by VITAMIN SHOPPE INDUSTRIES INC., a New York corporation (“Grantor”), and JPMORGAN CHASE BANK, N.A., as Administrative Agent (“Administrative Agent”), for the Secured Parties.
