MORGAN SECURITIES LLC and MERRILL LYNCH, PIERCE, FENNER & SMITH INCORPORATED, as joint lead arrangers, BANK OF AMERICA, N.A., as documentation agent, JPMORGAN CHASE BANK, N.A., as syndication agent, and CITIBANK, N.A. PRELIMINARY STATEMENT. The Company, the lenders party thereto and Citibank, as administrative agent, are parties to an Amended and Restated Five Year Credit Agreement dated as of October 31, 2013 (as amended by Amendment No. 1 (as defined below) and as otherwise amended, supplemented or modified prior to the date hereof, the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01 hereof, the parties hereto agree to amend and restate the Existing Credit Agreement as herein set forth.
