Reference is made to the Underwriting Agreement between Star Bulk Carriers Corp., a Marshall Islands corporation (the “Company”) and Morgan Stanley & Co. LLC, as representative of the several underwriters (the “Underwriters”), dated October 30, 2014 (the “Underwriting Agreement”).
