This SEPARATION, CONSULTING, AND RELEASE AGREEMENT (this “Agreement”), delivered this 13th day of November 2014 (the “Delivery Date”), confirms the following understandings and agreements between RenaissanceRe Holdings Ltd. (the “Company”) and Peter C. Durhager (“you;” provided, however, that, where the context so requires and where necessary to give effect to the terms hereof, “you” shall also refer to Affiliated family partnerships and your other Affiliates). All capitalized terms used, but not defined, herein shall have the meanings ascribed to them in your Further Amended and Restated Employment Agreement with the Company dated as of October 23, 2013 (your “Employment Agreement”).
