This Share Unit Award Agreement (this “Award Agreement”), is made and entered into effective as of the Date of Grant (defined below) by and between Xenia Hotels & Resorts, Inc. (the “Company”), and the participant named below (the “Participant”). Capitalized terms not defined herein shall have the meanings ascribed to them in the Xenia Hotels & Resorts, Inc. 2014 Share Unit Plan (the “Plan”).
