AGREEMENT made as of the 18th day of December, 2013 by and between BMO Asset Management Corp., an investment adviser registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), organized under the laws of Delaware and having its principal place of business in Chicago, Illinois (the “Adviser”), and Lloyd George Management (Europe) Limited, a corporation organized under the laws of England and Wales and an investment adviser registered under the Advisers Act (the “Subadviser”).
