CREDIT AGREEMENT dated as of October 2, 2006, as Amended as of February 15, 2007, and as of September 24, 2009, and as Amended and Restated as of November 9, 2011, as amended by the first amendment dated as of December 16, 2013, and as further amended by the second amendment (“Amendment No. 2”) dated as of December 22, 2014 (the “Second Amendment Effective Date”), and as further Amended and Restated as of the Effective Date (as defined below) (this “Agreement”), between OPEN TEXT ULC, OPEN TEXT HOLDINGS, INC. and OPEN TEXT CORPORATION (collectively the “Borrowers”), the DOMESTIC GUARANTORS PARTY HERETO, each of the lenders listed on the signature pages hereof or which pursuant to Section 16.01 becomes a “Lender” hereunder, BARCLAYS BANK PLC, as sole Administrative Agent and Collateral Agent, ROYAL BANK OF CANADA, as Documentary Credit Lender.
