This Separation Agreement (“Agreement”), is between Raphael Licht (“Executive”) and RAIT Financial Trust (“RAIT”) and, with respect to Paragraph 1(b)(v) and Paragraphs 2 and 3 below, Independence Realty Trust (“IRT”). Executive, RAIT and IRT have entered into this Agreement on December 26, 2014, effective as of December 31, 2014 (the “Effective Date”).
