This Subscription Agreement (this “Agreement”) is being delivered to [Name] (the “Subscriber”) in connection with his investment in the securities of Sonic Foundry, Inc. a Maryland corporation (“Sonic Foundry”). Sonic Foundry is selling, pursuant to SEC registration statement No. 333-185489, effective March 7, 2013,, units (the “Units”) at a purchase price per Unit equal to the trailing twenty (20) day average closing price of Sonic Foundry common stock on the day of close (the “Purchase Price”) with each Unit consisting of (i) one share (the “Shares”) of Sonic Foundry’s common stock, par value $0.001 per share, (the “Common Stock”), and (ii) a warrant which expires on the date which is five years from the date of close, in the form attached hereto as Exhibit A (the “Warrant”) to purchase one (1) share of Common Stock (the “Warrant Shares”) at an exercise price of $14.00 per share.
